Welcome to teamon.help (the "Platform," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website, mobile applications, and any related services (collectively, the "Services") provided by Team On LLC ("Company"), a company registered in Cape Girardeau, Missouri.
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Definitions
- User: Any individual or entity accessing or using the Services.
- Organizer: A User who creates or manages a fundraising campaign.
- Donor: A User who makes a financial contribution to a campaign.
- Campaign: A fundraising project hosted on the Platform.
- Content: Any text, images, videos, data, or other materials uploaded or posted by Users.
2. Eligibility and User Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement.
3. Fundraising Campaigns
Organizers are solely responsible for:
- The accuracy and honesty of all Campaign descriptions, goals, updates, and communications.
- All legal, regulatory, and tax compliance obligations related to their Campaign and the funds received.
- Delivering any promised rewards or outcomes to Donors.
We act solely as a technology platform and do not endorse, verify, monitor, or guarantee any Campaign or the use of funds.
4. Donations and Payments
- All donations are processed through third-party payment processors and are made directly to the Organizer or designated beneficiary.
- Donations are generally non-refundable once processed.
- Platform fees and payment processor fees will be deducted as clearly disclosed during checkout.
Tax Responsibility: You acknowledge and agree that we have no responsibility or liability for any tax obligations, reporting requirements, or tax deductibility related to any donations or Campaigns. Tax treatment (including deductibility) depends entirely on your personal circumstances, the Organizer's status, and applicable laws. We do not provide tax advice, tax receipts, or any tax-related services. Organizers are solely responsible for their own tax reporting and compliance.
5. Intellectual Property
- You retain ownership of your Content but grant us a worldwide, non-exclusive, royalty-free license to host, display, distribute, and promote your Content on the Platform.
- The Platform's design, logos, trademarks, and software are owned by the Company.
6. User Conduct and Prohibited Activities
You agree not to create misleading, fraudulent, or illegal Campaigns, misrepresent facts, or engage in any prohibited conduct.
7. Privacy
Please review our Privacy Policy for details on how we collect and use your information.
8. Disclaimers and Limitation of Liability
- The Services are provided "AS IS" without any warranties.
- We explicitly disclaim any responsibility for tax matters, fund usage, or outcomes of any Campaign.
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, the Company shall not be liable for any damages arising from your use of the Services, including any tax-related consequences, loss of funds, or claims by third parties.
- Our total liability shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
9. Indemnification
You agree to indemnify the Company against any claims, losses, or liabilities (including tax-related claims) arising from your use of the Services, your Campaigns, or your Content.
10. Termination
We may suspend or terminate your access at any time.
11. Changes to Terms
We may update these Terms. Continued use after changes constitutes acceptance.
12. Governing Law and Dispute Resolution
- These Terms shall be governed by the laws of the State of Missouri, without regard to conflict of laws principles.
- Any legal action shall be brought exclusively in the state or federal courts located in Cape Girardeau County, Missouri. You consent to the jurisdiction of such courts.
13. Miscellaneous
- These Terms constitute the entire agreement.
- Invalid provisions shall not affect the remainder.
- We may assign our rights; you may not assign yours.
